1. Agreement to Terms

By accessing or using the ASX Pair Trading platform (“Service”) operated by Pair Trading Australia (ABN: 68 900 187 285) (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

• You are 18 years of age or older
• You have the legal capacity to enter into these Terms
• You will use the Service in compliance with all applicable laws
• All information you provide is accurate and current

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information

• Notify us immediately of any unauthorised use

4. Subscription Plans and Payments

Free Tier:

• No payment required
• Subject to usage restrictions

Paid Subscriptions:

• Billed monthly or annually in advance
• Prices displayed at the time of purchase
• Payments processed through secure third-party processors (Stripe)
• Subscriptions auto-renew unless cancelled
• You may cancel anytime through your account settings

Refund Policy:

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Pro-rated refund within first 30 days only
• Refund requests: Email support@asxpairtrading.com
• Refunds processed within 14 business days

Price Changes:

We reserve the right to modify subscription prices. Existing subscribers will be notified 30 days before any price increase takes effect. You may cancel before the new price applies.

5. Educational Platform - Not Financial Advice

THIS IS CRITICAL - READ CAREFULLY:

ASX Pair Trading is an educational platform providing:

• Statistical analysis tools for pair trading
• Historical data and backtesting capabilities
• Paper trading simulation (virtual trading with no real money)
• Educational content about pair trading strategies

We DO NOT provide:

• Financial advice or investment recommendations
• Trading signals or buy/sell recommendations
• Guaranteed returns or profit promises
• Portfolio management services
• Licensed financial advisory services

You acknowledge and agree that:

• We are not licensed financial advisors
• All data is for informational purposes only
• You are solely responsible for your trading decisions
• You will conduct your own research and due diligence
• You will seek professional advice before making investment decisions
• Past performance does not guarantee future results
• Trading involves substantial risk of loss

6. Data Accuracy and Reliability

We strive to provide accurate data, but we cannot guarantee:

• The accuracy, completeness, or timeliness of market data
• Uninterrupted or error-free service operation
• That the platform will meet your specific requirements
• That backtesting results reflect real-world trading outcomes

You acknowledge that:

• Data may contain errors or delays
• Market conditions can change rapidly
• Historical patterns may not repeat
• You are responsible for verifying all data before making decisions

7. Paper Trading

Our paper trading feature simulates trading with virtual money. You understand that:

• Paper trading uses simulated, not real, money
• Results do not represent actual trading performance
• Real trading involves additional costs (brokerage, slippage, taxes)
• Emotional factors in real trading differ from paper trading
• Paper trading success does not guarantee real trading success

8. Prohibited Uses

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any securities laws or regulations
• Manipulate or abuse the platform features
• Use automated bots or scraping tools without permission
• Attempt to gain unauthorised access to the Service
• Interfere with other users' use of the Service
• Upload malicious code, viruses, or harmful content
• Impersonate others or provide false information
• Share your account credentials with others
• Use the Service to provide financial advice to others

9. Intellectual Property

All content on the platform, including software, code, algorithms, text, graphics, logos, images, data analysis tools, methodologies, and educational materials, is owned by Pair Trading Australia or our licensors and protected by copyright, trademark, and other intellectual property laws.

You may NOT:

• Copy, modify, or distribute platform content
• Reverse engineer or decompile the software
• Create derivative works based on the platform
• Use our trademarks without permission

Limited Licence: We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10. User-Generated Content

If you submit content to the platform (e.g., feedback, suggestions, trade notes):

• You retain ownership of your content
• You grant us a licence to use, modify, and display it for platform operation
• You represent that you have the right to share the content
• You will not submit confidential or proprietary information

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are NOT liable for:

• Any trading losses you incur based on using the platform
• Indirect, incidental, or consequential damages
• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Service interruptions or errors
• Actions of third-party service providers
• Accuracy of market data or analysis

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pair Trading Australia, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• At our sole discretion

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of New South Wales, Australia.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
